Supercheap Auto Trade Terms & Conditions

These Terms & Conditions are important, and we encourage you to read them in their entirety before you participate in the SCA Trade Program. These Terms & Conditions consist of Part A (which applies to businesses in New Zealand with a New Zealand Company Number and NZBN), Part B (which applies to an individual who is part of a Company Team) and Part C (which applies to an individual who does not have New Zealand company number or NZBN and is no longer part of a Company Team).

Businesses participating in the SCA Trade Program (called a 'Customer' in this document) will have an 'account manager' who will be able to add 'authorised user(s)' to the account (together user or users). The Customers account manager and authorised users will be entitled to place orders on behalf of the Customer to purchase certain products at a trade discount.

Where Part A or Part C apply, we want you to be aware of the following specific terms:

Availability: We may stop making SCA Trade Program (or any part of it) available without prior notice. We are not responsible or liable for any liabilities in connection with access to the SCA Trade Program and/or use of any elements or information contained therein.

Cancellations by us: We may cancel or reject all or any part of an order that you have placed under the SCA Trade Program for certain reasons without liability to you (such as where a product is not available).

Our liability (General): Except as required by law, we will not be liable for: transactions carried out using an Account Card or 30 Day Credit; any indirect or consequential loss in connection with the SCA Trade Program; or any loss or damage of any kind incurred by you in connection with your access to and use of the SCA Trade Program or its contents.

Termination or suspension: We may suspend, limit or revoke your Account Card and participation in the SCA Trade Program in our reasonable discretion

1 General

1.1 The Supercheap Auto Trade Program (SCA Trade Program) is a membership program which is owned and operated by Supercheap Auto (New Zealand) Pty Ltd (124NZBN 9429036715527) (Supercheap Auto, "SCA", us, we or our) in connection with the supply of goods and services (products) for businesses in New Zealand including through our website at [trade.supercheapauto.co.nz] (the Site).

1.2 These Terms & Conditions are governed by the laws in force in New Zealand.

PART A

1.3 Part A of the Terms & Conditions applies to businesses registered in New Zealand with the New Zealand's Companies Office with a NZBN and New Zealand Company Number ("Customers, "you and your).

1.4 These Terms & Conditions set out the conditions on which we offer the SCA Trade Program, and they apply to each Customer. If you join the SCA Trade Program, you agree to these Terms & Conditions. You should read both these Terms & Conditions and our Privacy Policy carefully.

2 Joining the SCA Trade Program

2.1 To join the SCA Trade Program, you must:

(a) hold a New Zealand Company Number and/or , if you are an individual with an NZBN, you must be at least 18 years old; and

(b) be able to meet the annual minimum spend on business purchases via your Supercheap Auto Trade account (see clause 6.1 for more information);

2.2 Team members of Super Retail Group Limited (ABN 81 108 676 204) and its subsidiaries are not eligible to join the SCA Trade Program.

2.3 To register for the SCA Trade Program, you must provide:

(a) certain information (such as the Customers business name, current registered NZBN and/or New Zealand Company Number, registered company address, contact number and business industry classification); and

(b) details of the nominated account manager (who must be at least 18 years old), including the individuals name and a unique email address that is not registered with any other SCA Trade Program account.

You (or your nominated account manager) must tell us as soon as possible if these details change. We are not responsible for any loss of SCA Trade Program benefits arising from you not notifying us of any change in your details.

2.4 A Customer may only have one registered SCA Trade Program account and the account is non-transferable.

2.5 We have the right to refuse you registration to the SCA Trade Program for any reason.

3 Setting up a Company Team

3.1 You can add an employee, contractor or other individual associated with your business to be linked to your SCA Trade Program account (your Company Team) as an authorised user as follows:

(a) you request that we link the individual to your SCA Trade Program account as an authorised user and provide us with the individuals email address; and

(b) the individual accepts an invitation from us to become an authorised user of your SCA Trade Program account.

3.2 If you add an authorised user whose email address is not linked to your email domain, you agree and represent that you have the written consent of that person for you to provide us with their email address and for us to send them an email inviting them to join your SCA Trade Program account as an authorised user.

3.3 You may at any time and upon notice to SCA:

(a) elect whether an authorised user may access the SCA Trade Discount, and, if we have extended credit to the Customer, have visibility of any credit balance and/or the ability to place orders that qualify for deferred payment terms; and

(b) unlink an authorised user.

3.4 You agree that:

(a) you are solely responsible for any decision to link an authorised user to your SCA Trade Program account;

(b) you are responsible and liable for any use of your SCA Trade Discount or 30 Day Credit (as applicable) by a person using the account details of (including an Account Card issued to) an authorised user, except to the extent that you have notified SCA that the authorised user is no longer authorised to use of your SCA Trade Discount or 30 Day Credit account (as applicable) or has been delinked;

(c) SCA may disclose your Company Team names, email addresses and business details and your available credit to authorised users in your Company Team; and

(d) you will not use or disclose information about your Company Team disclosed to you by SCA for purposes other than your participation in the SCA Trade Program.

3.5 We may ask the account manager or an authorised user to provide certain information (such as their name, phone number, Customers NZBN and/or New Zealand Company Number and email address) to verify their identity before undertaking activities associated with your SCA Trade Program account.

3.6 If the same email address is used to register a Supercheap Auto Club membership and a SCA Trade Program account, a transaction may only be registered in relation to Supercheap Auto Club membership or the SCA Trade Program account.

4 Benefits of joining the SCA Trade Program

4.1 As the holder of an SCA Trade Program account you get access to various benefits including:

Trade Discount

You will have access to discounted pricing on relevant products. More information can be found in section 5.2 below and our Help Centre.

30 Day Credit

If we enter into a credit agreement with you, SCA will provide products on credit in accordance with the terms of the Credit Agreement.

Invoices stored on your account & Invoice Free Warranties

When you provide your registered account details, we will keep a record of those purchases for a minimum of five (5) years on your account. This means that:

you will be able to easily access your E-Receipts; and

we will be able to honour applicable warranties, without a physical receipt for up to five (5) years from the date of original purchase.

Invoices Auto Emailed

Invoices for purchases linked to your SCA Trade Program account will be automatically emailed to the user who placed the order.

Account Communications

You will receive exclusive communications including about discounts, promotions and other special offers. See section 7 for more information on the communications SCA may send you.

Other rewards & benefits

You may also be eligible for other benefits from time to time like Rebate Rewards, special discounts, free shipping, vouchers, competitions, gifts or experiences.

4.2 Account Card. We may issue the account manager and each authorised user with a physical and/or digital Account Card. Each Account Card will remain our property. The Account Card is not a credit or a payment card. The Account Card can only be used in our stores in New Zealand, on the Site or via the SCA Trade Hotline. We may replace any lost Account Card at our discretion. You must notify us immediately if an Account Card is stolen or lost. We are not liable for any delay in replacing an Account Card.

4.3 You are responsible for the use of Account Cards by your account manager and authorised users, including:

(a) the safe keeping of Account Cards;

(b) any use of the Account Card by anyone other than a member of the Company Team; and

(c) contacting us at trade@supercheapauto.co.nz if you discover any unauthorised activity involving an Account Card.

We will not be liable for any unauthorised use of any Account Card issued to your account manager and Company Team.

4.4 Your Account Cards can only be used by your account manager and Company Team and are not transferable.

5x Trade Discount

5.1 The Trade Discount is a variable, tiered discount system based on your annualised spend (excluding gift cards). The percentage discount on items will vary based on purchase volume, business classification and product type. More information about how the Trade Discount is calculated can be found in our Help Centre.

5.2 The Trade Discount can be accessed on eligible products by:

(a) (for instore purchases) presenting the Account Card at the point of sale;

(b) (for SCA Trade Hotline purchases) verifying the Customers SCA Trade Program account details at the beginning of the transaction; or

(c) (for online purchases) completing the transaction via the Customers account at trade.supercheapauto.co.nz .

5.3 The Trade Discount cannot be used:

(a) on products already on sale or for sale at a discounted price below the standard retail price;

(b) on products which are on promotion as multi-buys, bonus buys or combo deals;

(c) in conjunction with coupon offers issued by SCA retail;

(d) on online only offers; or

on offers made to select SCA Trade Program account holders only;

5.4 Rebate Rewards If you are invited to join Rebate Rewards by SCA, you will be eligible to accrue Rebate Rewards. The following terms apply to Rebate Rewards:

(a) Rebate Rewards will only accrue if you are invited by SCA to join Rebate Rewards;

(b) Rebate Rewards accrue on a monthly basis for eligible Rebate Rewards purchases made during that month;

(c) you will not receive Rebate Rewards for a month if you do not pay your account in full and on time as per terms of payment notified to you by SCA;

(d) Rebate Rewards do not include spend on GST, delivery charges, gift cards and tyres; and

(e) Rebate Rewards apply per eligible account. You cannot pool Supercheap Auto Trade accounts to receive a Rebate Reward.

6 Your Obligations

6.1 You acknowledge and agree that:

(a) you will ensure a minimum annualised spend of NZ$600 (inclusive of GST) (Minimum Spend) is achieved in any given twelve (12) month period in order to maintain your Account Cards;

(b) all information and data provided by you, and all authorised users (including as part of registering for the SCA Trade Program) is true, accurate, complete and up to date; and

(c) you will (and will ensure that your personnel and all authorised users) comply with all relevant laws and any reasonable instructions we give you relating to your participation in the SCA Trade Program (including placement of any order with us).

7 How do Account Communications work?

7.1 Unless an account manager or authorised user has opted out, you agree on behalf of all users of your SCA Trade Program account to us communicating with each user via various channels and media (including email, SMS, phone, mail, app notifications and by advertising on certain websites and social media). We call these messages Account Communications.

7.2 You agree that one of your users can opt out of receiving different types of Account Communications by following the instructions below:

7.3 You agree on behalf of all users of your SCA Trade Program account that if a user unsubscribes from one type of Account Communication that user will continue to receive other types of Account Communications. For example, if a user unsubscribes from receiving customer experience survey emails, that user will still receive marketing emails, product review emails, SMS communications and postal communications unless that user has separately unsubscribed from those types of Account Communications.

7.4 You agree on behalf of all users of your SCA Trade Program account that we may always send certain Account Communications to your account manager and authorised users while you hold an SCA Trade Program account. We call these Transactional Messages. Transactional Messages include messages relating to your participation in the SCA Trade Program (like welcome messages, termination or suspension warning emails), important information relating to products and services (like health and safety recall notices), forgotten passwords and updates to Supercheap Auto Trades terms and conditions and privacy policy. You agree on behalf of all users of your SCA Trade Program account that Transactional Messages will not contain an unsubscribe link. If you do not want any Transactional Messages to be sent to users associated with your SCA Trade Program account, you may terminate your involvement in the SCA Trade Program.

7.5 You agree on behalf of all users of your SCA Trade Program account that, if the same email address linked to your SCA Trade Program account has been used to register the Supercheap Auto Club program (operated pursuant to the Supercheap Auto Club Terms and Conditions), that user will separately receive communications in accordance with the Supercheap Auto Club Terms and Conditions. You agree on behalf of all users of your SCA Trade Program account that if a user unsubscribes from communications relating to the Supercheap Auto Club program or the SCA Trade Program, that user will continue to receive communications relating to the other program to which that user is still subscribed.

7.6 Supercheap Auto uses information about your users (including prior purchases, the way each user interacts with the Site and demographic data) to help Supercheap Auto deliver communications and to display advertisements that Supercheap Auto believe are likely to be of interest. You agree on behalf of all users of your SCA Trade Program account that Supercheap Auto may use machine learning technology for this purpose.

8 Order

8.1 Your account manager and any authorised user authorised by your account manager can order products through the SCA Trade Program in accordance with these terms and conditions.

8.2 Until an order for the purchase of goods has been accepted by SCA either in writing or by conduct, no contract for the supply of goods shall exist between you and SCA. We reserve the right to accept or refuse any order for goods at our discretion on notice to you including (without limitation) if the requested goods are not available, if there is an error in the price or the product description.

8.3 When your account manager or any authorised user orders a product via the SCA Trade Program, you agree to pay us the following fees and charges if we accept your order:

(a) the purchase price of the product;

(b) the delivery fee for the product; and

(c) if applicable, any other fees and charges set out in these terms and conditions.

We will notify you if any additional fees and charges are applicable before you finalise your order.

8.4 Payment for all products in full must be completed at the time the goods are being ordered. When using 30 Day Credit as a payment method, other payment methods cannot be used as joint or split payment transactions. More information about payment can be found in our Help Centre.

8.5 You agree to pay any GST and any other government duties, levies or taxes payable in respect of the goods we supply to you in connection with the SCA Trade Program.

8.6 We reserve the right to alter our prices without notice. Provided however, that where an order has been accepted by us, the price that applied when the order was placed will continue to apply to that order.

9 Cancellation of an order

9.1 Prior to the point when we issue you an invoice of an order, you may cancel all or any part of an order (including orders that we have accepted) by following the instructions in our Help Centre, without any liability to Supercheap Auto for that cancellation. You must provide us with notice of cancellation (including the reason for the cancellation).

9.2 You cannot cancel all or any part of an order after the point when we have issued you an invoice on that order.

9.3 Prior to the dispatch or collection (as applicable) of an order, we may cancel all or any part of an order (including any orders that it has accepted) without any liability to you for that cancellation if:

(a) the requested goods in that order are not available; or

(b) there is an error in the price or the product description in relation to the relevant goods in that order; or

(c) that order has been placed in breach of these terms and conditions.

We will use reasonable endeavours to provide you with reasonable notice of any cancellation by us. You will not be charged for the cancelled order.

10 Risk and Title to Goods

10.1 All goods shall be at your sole risk upon receipt of the goods or from the collection of the goods by you (as applicable).

10.2 All goods (including those delivered to or collected by, as applicable, you) under these Terms and Conditions remain the property of Supercheap Auto until you have paid to Supercheap Auto in full the purchase price for the relevant goods and all other money due to Supercheap Auto in relation to the purchase of the relevant goods.

11 Delivery

11.1 We currently deliver orders to New Zealand addresses only.

11.2 Where orders are to be delivered, a delivery fee will be payable in addition to the purchase price. Additional delivery fees may be payable where the order is for special, non-stock and/or bespoke items; heavy, bulky and/or awkward items; express or urgent deliveries; or bulk or large quantity orders. If a delivery is re-directed to a courier depot, you will be responsible for additional charges (if any) for re-delivery.

11.3 Delivery time is subject to stock availability and product size. You can track the status of your order at any time online via trade.supercheapauto.co.nz or by contacting trade@supercheapauto.co.nz during business hours.

12 Returns

12.1 Our Return Policy applies to all orders placed through the SCA Trade Program and is incorporated into these terms and conditions by reference. More information can be found in our Help Centre.

12.2 If an item purchased using 30 Day Credit is returned for a refund, the refund will be refunded back on the 30 Day Credit balance for the full amount of the refund.

13 Limitation of Liability

13.1 To the maximum extent permitted by law, except as expressly set out in these terms and conditions, we:

(a) make no representations or warranties, whether express or implied, in relation to the SCA Trade Program, and any advice or information that is provided to you, your account manager or your authorised users via the SCA Trade Program; and

(b) exclude any liability (whether in contract, tort (including negligence), or otherwise) for any indirect or consequential loss, damage or expense incurred by you or any other user or person in connection with the SCA Trade Program.

13.2 To the extent we are unable by law to exclude any implied condition, representation, warranty or statutory guarantee in relation to (a) your participation in the SCA Trade Program or (b) the supply of any product any these Terms & Conditions that is not of a kind ordinarily acquired for personal, domestic or household use or consumption, we limit our liability (at our option) to the re-supply of the SCA Trade Program, or the products (as applicable), or payment for such re-supply.

13.3 Where permitted by law, we do not warrant or represent the suitability of the products for any purpose.

13.4 To the extent permitted by law, our liability to you for loss or damage of any kind arising out of these terms and conditions is reduced to the extent that you, your account manager or authorised users caused or contributed to the loss or damage.

14 Terminating your Supercheap Auto Trade Account

14.1 You can terminate your SCA Trade Program account at any time by following the instructions in our Help Centre.

14.2 We can terminate your Account Cards, eligibility for Rebate Rewards, or SCA Trade Program account at any time, including if you do not meet the Minimum Spend or if we think you have breached these Terms and Conditions, or are engaging in fraudulent or inappropriate conduct that undermines our legitimate interests.

14.3 Although we try to give you reasonable notice if we intend to terminate your SCA Trade Program account or the SCA Trade Program, sometimes this may not be possible (e.g. if you are fraudulently using your SCA Trade Program account).

14.4 After your SCA Trade Program account or the SCA Trade Program is terminated:

(a) you will be unable to access any of the SCA Trade Program benefits;

(b) you will not be able to log into the Site; and

(c) we will retain the personal information we hold about your personnel and authorised users in accordance with our internal policies, Privacy Policy and legal requirements.

If you have entered into a Credit Agreement with SCA, the termination clauses of that Credit Agreement will apply in addition to this clause.

15 Suspending your SCA Trade Program account or the Supercheap Auto Trade program

15.1 Sometimes we may have to suspend your SCA Trade Program account, parts or all of the SCA Trade Program.

15.2 Although we try to give you reasonable notice if we intend to suspend your SCA Trade Program account or the SCA Trade Program, sometimes this may not be possible (e.g. if we encounter an unexpected tech interruption).

15.3 If we suspend your SCA Trade Program account (for example, because we notice suspicious behaviour with an Account Card or on your account), you will be unable to access any benefits or features of the SCA Trade Program during this period. If we suspend part or all the SCA Trade Program (for example, because we are conducting security maintenance, or experiencing supply issues) you will be unable to access any or all parts of SCA Trade Program that have been suspended during this period. After the suspension period, you will be able to access your SCA Trade Program account in the same manner as before the suspension.

16 Will these Terms and Conditions change?

16.1 We try not to change these Terms & Conditions too often, but sometimes we need to, for example, if the law or our business changes.

16.2 The latest version of these Terms & Conditions will always be available on the Site. If we change the terms significantly or in a way that negatively impacts you, we will notify you via email and/or SMS.

16.3 If you dont agree with the change, you can terminate your SCA Trade Program account by following the instructions in our Help Centre. You accept the latest version of these Terms & Conditions if you continue to use your SCA Trade Program account after we change these terms.

17 Disputes and liability

If you have any concerns or complaints about the SCA Trade Program, you can contact us by following the instructions in our Help Centre. We will use reasonable endeavours to investigate any complaints, but our decisions and chosen resolution will be final.

18 General

Where we give you or your personnel/authorised users notice by email or SMS, you agree that the notice is deemed to have been provided to you on the date of the email or SMS, unless we are notified by your network provider that the notice has not been delivered.

PART B

1 General

1.1 This Part B of the Terms & Conditions applies to an individual (you) who has accepted an invitation from a business in New Zealand with a NZBN and/or New Zealand Company Number("Customer) to be linked to that Customers SCA Trade Program account (Company Team).

1.2 This Part B of the Terms & Conditions sets out the conditions on which you will participate in the SCA Trade Program as an authorised user of a Company Team. If you join a Company Team as part of the SCA Trade Program, you agree to this Part B of the Terms & Conditions. You should read both these Terms & Conditions and our Privacy Policy carefully.

2 Joining as an authorised user

2.1 To register as an authorised user of a Company Team, you must provide certain information (including your name, unique email address that is not registered with any other SCA Trade Program account, contact number and business industry classification).

2.2 You must tell us as soon as possible if these details in clause 2.1 change. We are not responsible for any loss of SCA Trade Program benefits arising from you not notifying us of any change in your details.

2.3 You may only be registered as an authorised user of one Company Team at any point in time.

2.4 We have the right to refuse you registration as an authorised user of a Company Team and/or the SCA Trade Program for any reason.

2.5 Team members of Super Retail Group Limited (ABN 81 108 676 204) and its subsidiaries are not eligible to join the SCA Trade Program.

2.6 We may ask you to provide certain information (such as your name, phone number, Customer's NZBN and/or New Zealand Company Number and email address) to verify your identity before undertaking any activities associated with your Company Team.

2.7 You acknowledge that your membership of the SCA Trade Program is as an authorised user linked to the Company Team of a Customer and that any purchases or interactions with the SCA Trade Program by you is made on behalf of the Customer.

2.8 You agree that, as an authorised user:

(a) your personal information and purchase details will be visible to the Customer and the Customers account manager;

(b) SCA may disclose your personal information and purchase details to the Customer and Customers account manager; and

(c) you will not use or disclose information about the Company Team disclosed to you by SCA for purposes other than your participation in the SCA Trade Program as part of that Company Team.

2.9 You acknowledge that you may request SCA to de-link you from the Company Team and, if applicable, link you to a new Company Team. More information about how to add an authorised user can be found in our Help Centre.

2.10 If we de-link you from the Company Team, Part B of the Terms & Conditions no longer apply and Part C of the Terms & Conditions will apply to you unless and until you are linked to a Company Team associated with a business with an a NZBN and/or New Zealand Company Number at this point Part B of the Terms & Conditions will then re-apply.

3 How do Account Communications work?

You agree that if you unsubscribe from communications relating to the Supercheap Auto Club program or the SCA Trade Program, that you will continue to receive communications relating to the other program to which you are still subscribed.

PART C

1 General

1.1 This Part C of the Terms & Conditions applies to an individual (you) who does not have an NZBN and/or New Zealand Company Number and is no longer linked to the SCA Trade Program account of a business in New Zealand with a NZBN and/or New Zealand Company Number (Company Team). If you join the SCA Trade Program in your individual capacity, you agree to this Part C of the Terms & Conditions. You should read both these Terms & Conditions and our Privacy Policy carefully.

1.2 If you have previously agreed to Part B of the Terms & Conditions, Part B of the Terms & Conditions no longer apply and Part C of the Terms & Conditions will apply to you unless and until you are linked to a Company Team at which point Part B of the Terms & Conditions will then apply.

1.3 Part A of the Terms & Conditions applies to you subject to the following changes:

(a) all references to you and account-manager in Part A of the Terms & Conditions are deemed to be a reference to you;

(b) clause 2.1(a) in Part A of the Terms & Conditions does not apply (but you must be at least 18 years of age); and

(c) clause 7 of Part A of the Terms & Conditions is replaced with clause 2 below.

2 How do Account Communications work?

2.3 You agree that if you unsubscribe from one type of Account Communication that you will continue to receive other types of Account Communications. For example, if you unsubscribe from receiving customer experience survey emails, you will still receive marketing emails, product review emails, SMS communications and postal communications unless you have separately unsubscribed from those types of Account Communications.

2.4 You agree that we may always send certain Account Communications to you while you are part of the SCA Trade Program. We call these Transactional Messages. Transactional Messages include messages relating to your participation in the SCA Trade Program (like welcome messages, termination or suspension warning emails), important information relating to products and services (like health and safety recall notices), forgotten passwords and updates to Supercheap Auto Trades terms and conditions and privacy policy. You agree that Transactional Messages will not contain an unsubscribe link. If you do not want to receive Transactional Messages, you can terminate your involvement in the SCA Trade Program.

2.5 You agree that, if the same email address linked to your SCA Trade Program account has been used to register the Supercheap Auto Club program (operated pursuant to the Supercheap Auto Club Terms and Conditions), you will separately receive communications in accordance with the Supercheap Auto Club Terms and Conditions. You agree that if you unsubscribe from communications relating to the Supercheap Auto Club program or the SCA Trade Program, that you will continue to receive communications relating to the other program to which you are still subscribed.

2.6 Supercheap Auto uses information about you (including prior purchases, the way you interact with the Site and demographic data) to help Supercheap Auto deliver communications and to display advertisements that Supercheap Auto believe are likely to be of interest. You agree that Supercheap Auto may use machine learning technology for this purpose.

Special Order Terms and Conditions

Super Cheap Auto (New Zealand) Pty Limited (1172262) (“SCA”, “us” or “we”) is pleased to supply you with goods via our Special Order program in accordance with our Online Terms and Conditions and on the basis of the following additional Special Order Terms and Conditions:

Understanding

A “Special Order” is a product we source direct for you based on your request for order. These products are provided from one of our suppliers. While we take steps to keep the information on our Site, including product availability up-to-date, to the maximum extent permitted by applicable laws content published on or through the Site is provided in good faith on an "as is", “as available” and “where is” basis without any warranty of any kind either express of implied. In some instances items may become unavailable at the time of order due to circumstances beyond our control.

Orders

Generally once your purchase of a Special Order has been dispatched we are unable to add to, remove from or modify your order. If an error has been made while ordering or your circumstances change please contact our Customer Care Team on 0800 500 605, or complete our online enquiry form and our friendly team will assist wherever possible.

To assist in your enquiry please ensure you quote your order reference number when communicating with our Customer Care Team. Your order reference number can be found within the order confirmation sent to you via email after placing your order (ie. 0000123456).

Payment

You must pay for all online purchases at the time of online checkout prior to order confirmation in accordance with one of the payment methods offered on the SCA website.

Delivery (if applicable)

If delivery is offered by us, charges for delivery to your home or premises may apply.

Delivery time for Special Orders is subject to a number of factors including whether a product is custom made, stock availability from our supplier, as well as how our selection of courier services and other parties involved in the delivery such as freight forwarders can respond, the size of the Special Order and the delivery location.

You should take note of the estimated delivery time displayed on the product after you enter your postcode into the delivery calculator. While, to the maximum extent possible according to applicable laws, we are not responsible for the actions of third parties such as couriers or freight forwarders, we will endeavour to provide you with reasonable notice of any extension in delivery time that may occur .

Courier deliveries are made during business hours, Monday to Friday only and some products may require extra delivery personnel which may incur an additional charge.

Collection (if applicable)

If products are being collected from one of our stores, please collect them within 10 days after we inform you that they are ready for collection. When you come to collect your product(s) please make sure to bring your order confirmation and ID. A driver’s licence is required for collection of orders over $100.

If you do not collect your Special Order product within 10 days from the time we inform you that it is ready for collection, and unless you make alternative arrangements with us for late collection, we will assume you have cancelled your order. This means we may re-sell the products and, subject to our obligations under New Zealand Consumer Law, you may forfeit any deposit or payment you have made (or, a reasonable portion to cover our costs associated with arranging for the Special Order). We may need to verify your identity upon collection.

Warranties

Nothing in these Special Order Terms and Conditions excludes, restricts or modifies any guarantee, warranty, term or condition, right or remedy implied or imposed by any applicable law which cannot be lawfully excluded, restricted or modified. This includes the New Zealand Consumer Law which contains guarantees that protect purchases of goods and services in certain circumstances. If any guarantee, term condition or warranty is implied or imposed in relation to these Terms and Conditions (a Non-Excludable Provision) and SCA is able to limit your remedy for a breach of such a Non-Excludable Provision then our liability for breach of the Non-Excludable Provision is limited to one or more of the following at our sole option:

  • replace the goods;
  • supply equivalent goods;
  • repair the goods;
  • pay you for the cost of replacing the goods (or of acquiring equivalent goods);or
  • pay you for the cost of having the goods repaired.

Notwithstanding the above, in the case of a major defect, you may elect to obtain a refund or a replacement of the Special Order product.

We will endeavour to resolve any problems with a Special Order quickly after notification. You should ensure that the products you elect to purchase are suitable for your specific purpose including ensuring the correct vehicle is selected when purchasing vehicle specific parts. We are not legally required to cancel orders or provide refunds, returns or replacements of any products, including Special Order products if you simply change your mind.

To the maximum extent permitted by applicable laws, we will not be liable for damage, loss or injury suffered as a result of any person failing to follow instructions relating to the products, modifying them, failing to appropriately maintain or store them or using them for an unintended purpose. Without limiting any rights you may have under applicable laws, customers must inspect the products upon taking delivery and any shortage, discrepancy, defect, wrong specification or similar problem must be notified to SCA as soon as you become aware of it, and in any event within 14 days of delivery.

Cancellation & Returns

We will endeavour to assist you if you wish to cancel your Special Order – please see sections 9 and 10 of our Online Terms and Conditions.

Please also see our returns policy detailing the terms and process. Some products, including custom made products are non-returnable unless a warranty or guarantee is breached.

We reserve the right to cancel any order (in full or part) where: (i) you are in breach of your payment obligations to SCA; (ii) SCA reasonably suspects that you are purchasing products for the purposes of resale or resupply; (iii) SCA becomes aware after order confirmation that the good is out of stock; or (iv) there has been a genuine pricing or product description error by SCA or its supplier. Where we cancel your Special Order, we will refund any amount already paid in respect of any cancelled order (and in the case of part cancellation of an order, we will refund the amount paid that relates to the cancelled portion of the order).

Fitment Of Parts

Due to the complexity of vehicles today SCA recommend seeking assistance from a qualified mechanic when installing or replacing parts on your vehicle. Failure to install a part correctly may result in damage to your vehicle, serious injury or death.

If you are unsure about how to install a part, make sure to seek assistance from a licensed mechanic or arrange to have them install the part for you.

Third Party Installation

Where you arrange for a third party to install products supplied by us, you must contract separately with that third party. SCA will not be liable for any installation services provided by a third party.

Gift Card Terms and Conditions

These Terms and Conditions are current at 16th February 2023.

These terms and conditions are important and we encourage you to read them in their entirety before you place an order for, or use, a Gift Card. We wanted you to be aware of the following specific terms in particular:

  • Changes to these terms and conditions: We may change these terms and conditions at any time in limited circumstances, including to add or remove participating retailers or where the Gift Card may be redeemed where those retailers or places cease to support the Gift Card.
  • Sharing your data: If you order a personalised eGift Card, we may share your details with our third-party suppliers for the management and fulfillment of your order. Our third-party suppliers may be able to identify you from this information.

1.0. General

1.1 These Gift Card Terms and Conditions apply to both physical gift cards and eGift Cards (“Gift Cards”) issued by Super Cheap Auto (New Zealand) Pty Limited (1172262) (“ Supercheap, us”, “our”, or “we”). [These terms and conditions do not apply to any gift cards issued in conjunction with our third-party partners as part of a promotional campaign. Such terms and conditions for promotional campaigns will be available on our third-party partner’s website. Please familiarise yourself with these terms and conditions before you place an order for, or use, a Gift Card.

1.2 By purchasing, redeeming or attempting to redeem a Gift Card, you accept and agree to be bound by, and comply with, these terms and conditions.

1.3 Physical gift cards can be purchased in-store or online. eGift Cards can be purchased online only. A Gift Card limit or value per transaction may apply for all online purchases.

1.4 Each Gift Card will have a:

(a) 17-digit card number (or, for Gift Cards issued prior to October 2021, a 19-digit card number) (“Card Number”); and

(b) 4-digit access PIN (“Access Pin”).

1.5 Gift Cards have no expiry date.

2.0. Purchases with your Gift Card

2.1 You may purchase goods from our store or on our website by selecting the goods and taking them to the point of sale operator in our stores or on our website.

(a) For in-store purchases, you will swipe your physical Gift Card or scan the barcode on your eGift Card and enter the Card Number and Access PIN into the pin pad.

(b) For online purchases, instructions will be provided on our website for the Card Number and the Access PIN to be entered to complete the purchase.

2.2 You acknowledge that the Gift Card may not be used:

(a) to pay a store or credit account;

(b) to purchase goods or services that we are not permitted to supply to you by law in the relevant location (for example, there are age restrictions on weapons and volatile substances that vary between jurisdictions);

(c) to purchase goods or services that we are not permitted to supply to you under our company policy in the relevant location (for example, spray paint will not be sold to persons under 18 in certain locations); and

(d) for the purchase of [tyres or] any services supplied by outbound partners.

2.3 When you make a purchase with a Gift Card, we will reduce the remaining card value (being the portion of the initial value of the Gift Card that remains unspent at any time) by the value of all purchases of goods and services that are processed against the Gift Card.

2.4 Your Gift Card may only be used to make purchases up to the remaining card value. If you wish to make a purchase for an amount that exceeds the remaining card value, you must pay the excess using another payment method.

2.5 Once the remaining card value is completely used, you should destroy your Gift Card. Your Gift Card cannot be reloaded or topped up.

2.6 You can check your card balance and transaction history:

(a) by calling 0800 500 605. You will be required to provide the Card Number and the Access PIN to our call centre operator.

(b) on our website. You will be required to enter both the Card Number and Access PIN on the designated page.

3.0. No cash advances or exchanges

You cannot:

(a) obtain any cash advance with your Gift Card;

(b) redeem your Gift Card for cash; or

(c) exchange your Gift Card for a different brand, denomination or type of Gift Card or for another tender or discount.

4.0. Faulty or damaged Gift Cards

We will not replace a Gift Card unless it is proven to be faulty or damaged as a result of the production process or otherwise due to the fault of us, our related bodies corporate, or our employees, agents or contractors.

5.0. Your responsibility

5.1 You are responsible for the use and safety of your Gift Card. Please treat your Gift Card like cash. Lost or stolen cards will not be replaced or refunded.

5.2 You are liable for all transactions on your Gift Card, except to the extent to which there has been fraud or negligence by us, our related bodies corporate, or by any of our employees.

6.0. Errors and complaints

6.1 If you have reason to believe that an error has occurred in relation to your Gift Card, you should call 0800 500 605. You will be required to provide the Card Number and the Access PIN to our call centre operator.

6.2 Subject to the law, any complaints about goods or services purchased with a Gift Card must be resolved directly with the store concerned. Please refer to our Returns Policy for further detail.

7.0. eGift Card personalisation

7.1 If you choose to personalise an eGift Card, you must ensure that any materials that you include on the card (such as photos, images or videos) do not contain:

(a) provocative, sexual, violent or abusive content (including profanity, obscenities, nudity or semi-nudity, firearms or other weapons);

(b) libellous, defamatory, discriminative, prejudicial or other offensive content;

(c) material that could infringe the rights of any third party, including any intellectual property or moral rights;

(d) material that depicts illegal or anti-social behaviour;

(e) nationalistic, political statements or politically motivated messages or symbols; or

(f) material which may breach any laws or relevant standards or codes, or which may otherwise give rise to civil or criminal proceedings.

7.2 We reserve the right to refuse to fulfil your order for a personalised eGift Card, if we determine in our sole discretion and acting reasonably that such personalisation is unacceptable, inappropriate or does not meet the content guidelines set out above. In such circumstances, we will notify you and you will be refunded.

7.3 You understand that the final form of the eGift Card may contain variations in colour, image quality and position from any draft you view online. You acknowledge that the appearance of the final imagery is dependent on the quality of the photos or images submitted by you.

7.4 Our Returns Policy for change of mind does not apply to personalised goods and orders. We will also not refund, exchange or replace an order due to an error made by you.

7.5 You understand that the personalised eGift Card (including your details) will be used and shared with our suppliers for the management and fulfilment of your order. You grant us and our suppliers the right to reproduce, publish or make an adaptation of any materials that you include on the card for the purpose of providing the personalisation service to you.

7.6 You warrant that:

(a) you will not make any claim against us or our suppliers, for any reproduction, publication or adaptation of the materials you have submitted to us in accordance with these terms and conditions; and

(b) you waive all rights of action or other claims you may have now or in the future against us in respect of any such reproduction, publication or adaptation of the materials.

7.7 If the personalised eGift Card infringes the rights of any person, you agree to immediately on request by us pay any losses, costs or expenses that we or our suppliers incur as a result of our possession, printing, modification or other use of the personalised eGift Card in accordance with these terms and conditions.

8.0. Privacy and your personal information

Please see our Privacy Policy for details of how we collect and handle your personal information. By purchasing, redeeming or attempting to redeem a Gift Card (including by providing your personal information), you acknowledge that we (and/or our related bodies corporate) may collect, use and disclose your personal information in accordance with our Privacy Policy .

9.0. Changes to these terms and conditions

9.1 To the extent permitted by law, we reserve the right to change any of the terms contained in these terms and conditions at any time to the extent required by the circumstances described below:

(a) to add or remove participating retailers or where the Gift Card may be redeemed where those retailers of places cease to support eh Gift Card;

(b) to add or remove goods or services which may be purchased with the Gift Card where we are required to do so;

(c) for systems, administrative or operational reasons to prevent the occurrence of fraud or other unlawful or unacceptable conduct;

(d) to comply with any mandatory contract, law, regulation or statute or order or judgment of any court, tribunal or other body having competent jurisdiction; or

(e) where we, acting reasonably, consider that it will not be to your detriment.

9.2 Such amendments will be effective as soon as they are posted on our website.

9.3 If you consider that you have suffered detriment by any change, we will refund the remaining card value. By continuing to use a Gift Card after these terms and conditions have been amended, you agree to be bound by the changes.

9.4 We encourage you to periodically review these terms and conditions, so you remain informed about the terms that govern the use of your Gift Card.

10.0. Force majeure

To the extent permitted by law, we will not be liable, nor be in default under these terms and conditions, for failure to observe or perform any of our obligations under these terms and conditions for any reason or cause which could not, with reasonable diligence, be controlled or prevented by us. These causes include acts of God, acts of nature, acts or omissions of government or their agencies, strikes or other industrial action, fire, flood, storm, riots, power shortages or failures, sudden and unexpected system failure or disruption by war or sabotage, and other acts or omissions of third parties.

11.0. Severability

Each of these terms and conditions is separately binding. If the whole or any part of a provision of these terms and conditions is void, unenforceable or illegal in a jurisdiction it is severed for that jurisdiction. The remainder of the terms and conditions has full force and effect and the validity or enforceability of that provision in any other jurisdiction is not affected. This clause has no effect if the severance alters the basic nature of these terms and conditions or is contrary to public policy.

12.0. Governing law

These terms and conditions are governed by the laws of Queensland, Australia and are to be construed and enforced in accordance with those laws. Each party submits to the non-exclusive jurisdiction of the Queensland courts.

Trade Terms and Conditions of Use

These terms and conditions include terms which exclude liability for indirect and consequential loss (including without limitation for loss of revenue, loss of profits, failure to realise expected profits or savings and any other commercial or economic loss of any kind) or loss or corruption of data, in contract, tort, under any statute or otherwise (including negligence) arising from or connected to any Goods.

1. General

1.1. By using their Trade Discount Card, each Customer accepts and agrees to be bound by these terms and conditions and any variations made from time to time to these terms and conditions by Supercheap Auto. Customers should read both these terms and conditions and our Privacy Policy carefully.

1.2. The Customer must present their Trade Discount Card at the time of purchase. Supercheap Auto may request that a Customer provide personal identification to verify their identity.

1.3. Supercheap Auto may grant a Customer’s Trade Discount Card and allow the Customer’s participation in the Trade Program at its discretion on notice to the Customer.

1.4 Supercheap Auto may revoke, suspend or otherwise limit a Customer’s Trade Discount Card and participation in the Trade Program at its discretion on notice to the Customer. Without limitation to the foregoing, Supercheap Auto may remove the Customer from the Trade Program if the Customer does not meet the minimum annual spend requirement set out at clause 13.1 for participation in the Trade Program. Although Supercheap Auto will try to give the Customer reasonable notice if it intends to revoke, suspend or otherwise limit their Trade Discount Card or participation in the Trade Program, this will not always be possible (eg if a Customer is fraudulently using their Trade Discount Card).

1.5. Supercheap Auto reserves the right to accept or refuse any order for Goods at its discretion on notice to the Customer.

1.6. Until an order for the purchase of Goods has been accepted by Supercheap Auto either in writing or by conduct, no contract for the supply of Goods shall exist between Supercheap Auto and the Customer.

1.7. The Customer is responsible for all transactions carried out using the Trade Discount Card and Supercheap Auto will not be liable for any unauthorised use of the Trade Discount Card.

1.8. The Customer’s Trade Discount Card and participation in the Trade Program is not transferrable.

2. Prices and Quotations

2.1. Supercheap Auto reserves the right to alter prices of Goods without notice. Provided however that the price of Goods in an order which has been accepted by Supercheap Auto may not, in relation to that order, be altered by Supercheap Auto (except to the extent of any amount payable pursuant to clause 2.3).

2.2. All prices are in New Zealand Dollars.

2.3. The Customer agrees to pay any GST and any other government duties, levies or taxes payable in respect of the Goods supplied by Supercheap Auto.

2.4. Discount (if any) is only applicable on full price items (i.e normal retail price) and excludes sale items, special buys, gift cards, vouchers, bonus buys, and any other discounted items.

3. Placing an Order for Goods

3.1. The Customer may order Goods by submitting an order to Supercheap Auto by any means approved by Supercheap Auto and in accordance with these terms and conditions.

3.2. Any order placed for Goods by the Customer is an offer by the Customer to purchase the particular Goods for the price notified (including the delivery and other charges and taxes) at the time the Customer places the order.

3.3. Supercheap Auto may ask the Customer to provide additional details or require the Customer to confirm their details to enable Supercheap Auto to process any orders placed.

3.4. The Customer agrees to provide Supercheap Auto with current, complete and accurate details when requested to do so.

4. Acceptance or Rejection of an Order

4.1. Supercheap Auto reserves the right to accept or reject the Customer’s order by notice to the Customer for any reason, including (without limitation) if the requested Goods are not available, if there is an error in the price or the product description.

4.2. Each order placed for Goods that Supercheap Auto accepts results in a separate binding agreement between Supercheap Auto and the Customer for the supply of those Goods. For each order so accepted, Supercheap Auto will supply the Goods in that order to the Customer in accordance with these terms and conditions.

4.3. If Supercheap Auto rejects an order, then Supercheap Auto will use reasonable endeavours to notify the Customer of that rejection within a reasonable time after the Customer submits their order.

5. Cancelling an Order by Supercheap Auto.

5.1. Prior to the dispatch or collection (as applicable) of an order, Supercheap Auto may cancel all or any part of an order (including any orders that it has accepted) without any liability to the Customer for that cancellation if:

5.1.1. the requested Goods in that order are not available; or

5.1.2. there is an error in the price or the product description in relation to the relevant Goods in that order; or

5.1.3. that order has been placed in breach of these terms and conditions.

5.2. If Supercheap Auto cancels an order as above, it will use reasonable endeavours to provide the Customer with reasonable notice of that cancellation. The Customer will not be charged for the cancelled order.

6. Cancelling an Order by Customer

6.1. Prior to the dispatch or collection (as applicable) of an order, the Customer may cancel all or any part of an order (including orders that Supercheap Auto has accepted) due to circumstances beyond the Customer’s reasonable control (e.g. loss of employment, serious injury or illness) but not if the Customer simply changes their mind, without any liability to Supercheap Auto for that cancellation.

6.2. If the Customer does cancel an order as above, then the Customer must provide Supercheap Auto notice (including reasons) before the dispatch or collection (as applicable) of the order. The Customer cannot cancel all or any part of an order after the order has been dispatched by Supercheap Auto or collected by the Customer (as applicable).

7. Delivery

7.1. If the Goods are being delivered, the Customer should allow at least ten (10) working days for delivery from the receipt of their order and payment for their order. Delivery time is subject to stock availability, this period may be extended by up to 30 days by Supercheap Auto and it will endeavour to provide the Customer with reasonable notice of that extension.

7.2. If the Goods are being delivered, a delivery fee is payable in addition to the purchase price of the Goods. A number of different delivery methods may be used depending on the type of order.

7.3. If the delivery is by courier, Goods will not be delivered to an unattended address. The courier requires a signature from an occupant at the specified delivery address. If no one is available to sign for the parcel a card will be left and the parcel re-directed to the nearest courier depot. The Customer is then responsible for collecting the parcel from that depot or paying an additional charge for re-delivery.

7.4. Supercheap Auto ships orders to New Zealand addresses only.

7.5. The Customer acknowledges and agrees that it may incur additional delivery fees/freight charges (in excess of the fees and charges specified above) for:

7.5.1. special, non-stock and/or bespoke items;

7.5.2. heavy, bulky and/or awkward items;

7.5.3. express or urgent deliveries; or

7.5.4. bulk or large quantity orders.

7.6. Where the Customer is alerted to shortages or damages in the Goods upon receipt of the Goods, the Customer must endeavour to make a claim for such to Supercheap Auto within seven (7) days of receipt of the Goods by the Customer. Failure to do so will not limit the application of any applicable statutory guarantees provided under the Consumer Guarantees Act 1993 (or any successor legislation) or other equivalent legislation that cannot be excluded.

8. Payment

8.1. Payment for all Goods in full must be completed at the time the Goods are being ordered.

8.2. The only accepted means of paying for Goods will be by cash, cheques (acceptance of cheque payment is at the absolute discretion of Supercheap Auto), electronic funds transfer or credit card, all without any deduction, unless otherwise agreed to by Supercheap Auto.

9. Risk and Title to Goods

9.1. The Goods shall be at the sole risk of the Customer upon receipt of the Goods to the Customer or from the collection of the Goods by the Customer (as applicable).

9.2. All Goods (including those delivered to or collected by, as applicable, the Customer) under these terms and conditions remain the property of Supercheap Auto until the Customer has paid to Supercheap Auto in full the purchase price for the relevant Goods and all other money due to Supercheap Auto in relation to the purchase of the relevant Goods.

10. Return of Goods

10.1. In addition to any applicable statutory guarantees provided under the Consumer Guarantees Act 1993 (or any successor legislation) or other equivalent legislation that cannot be excluded, Supercheap Auto will accept Goods returns and provide the Customer with (at Supercheap Auto’s election) a replacement for the Good (subject to availability) an exchange voucher, refund or repair where:

10.1.1. the Good delivered is faulty or is not of acceptable quality;

10.1.2. the Good delivered is not fit for its intended purpose; or

10.1.3. the Good delivered does not match the description given by Supercheap Auto.

If the Good delivered is faulty, not of acceptable quality, not fit for its intended purpose, does not match the description given by Supercheap Auto or covered under a warranty from the manufacturer, or otherwise does not comply with any applicable statutory guarantees provided under the Consumer Guarantees Act 1993 (or any successor legislation) or other equivalent legislation that cannot be excluded the Customer must promptly contact Supercheap Auto. To enable Supercheap Auto to evaluate the Customer’s return request, the Customer must provide Supercheap Auto with any information reasonably requested by Supercheap Auto, including but not limited to:

10.2.1. the order number, invoice number or receipt number;

10.2.2. a detailed description of the problem or the reason for the request to return the Good;

10.2.3. photograph(s) of the Good that has been damaged during transportation; and

10.2.4. Customer details.

10.3. Supercheap Auto will evaluate the return request and if applicable, issue the Customer with a returns authorisation notice once Supercheap Auto has received details of Customer’s return request. Supercheap Auto will provide the Customer with return instructions and return address for the relevant Goods.

10.4. Supercheap Auto’s Goods come with guarantees that cannot be excluded under the Consumer Guarantees Act 1993. The customer is entitled to a replacement or refund and compensation for any reasonably foreseeable loss or damage for any substantial failure of the Goods to comply with the guarantees, or other failure that cannot be remedied by Supercheap Auto. The customer is also entitled to have the Goods repaired or replaced if the Goods, for example, fail to be of acceptable quality and the failure does not amount to a substantial failure of the Goods to comply with the applicable statutory guarantees.

11. Warranties and Economical Loss

11.1. Supercheap Auto accepts liability for breach of any legal guarantees arising under the Consumer Guarantees Act 1993, or any other applicable legislation, the effect of which cannot be excluded. However, where Supercheap Auto are permitted by law and where Goods are not of a kind ordinarily acquired for personal, domestic or household use or consumption, Supercheap Auto will only:

11.1.1. in the case of services, resupply the services or pay to the Customer the cost of resupply; and

11.1.2. in the case of goods, replace the goods, supply equivalent goods, repair the goods, pay to the Customer the cost of replacing the goods (or of acquiring equivalent goods), or pay to the Customer for the cost of having the goods repaired.

11.2. Where permitted by law (and subject to clause 11.3), Supercheap Auto will not be liable to the Customer for indirect and consequential loss (including without limitation for loss of revenue, loss of profits, failure to realise expected profits or savings and any other commercial or economic loss of any kind) or loss or corruption of data, in contract, tort, under any statute or otherwise (including negligence) arising from or connected to any Goods.

11.3. Supercheap Auto’s liability to the Customer for loss or damage of any kind arising out of this agreement or in connection with the relationship established by it is reduced to the extent (if any) that the Customer causes or contributes to the loss or damage. This reduction applies whether Supercheap Auto’s liability is in contract, tort (including negligence), under any statute or otherwise.

12. Variation of Terms and Conditions

12.1. Supercheap Auto may make any variations to these terms and conditions by publishing the varied terms and conditions on its website here or otherwise notifying the Customer of the change. Any such variations will be effective as soon as they are published or otherwise notified to the Customer. If Supercheap Auto varies the terms and conditions significantly or in a way that negatively impacts the Customer, Supercheap Auto will notify the Customer via email or SMS. If the Customer does not agree with any variation, they may terminate their involvement in the Trade Program by notice to Supercheap Auto. If a Customer has not terminated their involvement in the Trade Program and offers to purchase any Goods after a variation has been published or otherwise notified to the Customer, that offer will be deemed to be the Customer’s acceptance of such varied terms and conditions.

13. Customer Obligations

The Customer covenants and warrants to Supercheap Auto that:

13.1. Without limitation to the provisions of clause 1.3, the Customer will ensure a minimum annualised spend of $600 (inclusive of GST) is achieved in any given twelve (12) month period to maintain a Trade discount. Supercheap Auto will review (at its absolute discretion) and may revoke a Customer’s Trade Discount Card or disallow the Customer’s participation in the Trade Program if the minimum annualised spend is not achieved.

13.2. The Customer warrants that all information and data provided by the Customer to Supercheap Auto (including as part of registering for the Trade Program) or otherwise is true, accurate, complete and up to date.

13.3. The Customer warrants that, in the event of delivery of the Goods, the person receiving the Goods at the delivery address is authorised by the Customer to do so.

13.4. The Customer warrants that it has and will comply with all relevant laws relating to the Customer’s participation in the Trade Program and its placement of any order to Supercheap Auto.

13.5. The Customer must ensure that the Trade Discount Card is kept in a safe and secure manner.

13.6. The Customer must promptly notify Supercheap Auto if the Customer is or becomes aware that there is or has been an unauthorised use of the Trade Discount Card, or any other security breach relating to the Customer’s participation in the Trade Program. Where Supercheap Auto receives such notification, it will cancel any related orders for Goods which have not yet been dispatched or collected.

13.7. The Customer must promptly advise Supercheap Auto of any changes to the Customer’s information provided to Supercheap Auto as part of the Trade Program registration process.

13.8. The Customer is responsible for any costs associated with their participation in the Trade Program.

13.10. The Customer agrees that Supercheap Auto may charge the Customer for all Goods that Supercheap Auto agree to supply to the Customer that have been ordered using the Customer’s Trade Discount Card.

13.11. The Customer is responsible for its use of the Goods and will check any labels on the Goods before consumption or use.

13.12. The Customer must not:

13.12.1. use the Trade Program for any activities that breach any laws, infringe a third party’s rights or are contrary to any relevant standards or codes;

13.12.2. make fraudulent or speculative enquiries, purchases or requests via the Trade Program;

13.12.3. use another person’s details without their permission or impersonate another person when participating in the Trade Program;

13.12.4. create or attempt to create accounts in the Trade Program by automated means or under false or fraudulent pretences;

13.12.5. create or attempt to create multiple accounts in the Trade Program;

13.12.6. use the Trade Discount Card other than in accordance with these terms and conditions; or

13.12.7. attempt any of the above acts or engage or permit another person to do any of the above acts.

14. Notice

14.1. Any notice to be given to Supercheap Auto by the Customer may be sent to the Trade department, PO Box 97059, South Auckland Mail Centre 2241 or emailed to trade@supercheapauto.co.nz.

14.2. Any notice to be given to the Customer by Supercheap Auto shall be sent to the last known address or email whichever is applicable. Notices shall be considered to have been sufficiently delivered five (5) days after mailing or in the case of email once it has been sent, unless a notice of a failure is received.

15. Notification of Changes

15.1. The Customer must not assign and/or novate these terms and conditions without the prior written approval of Supercheap Auto, which may be granted or declined at Supercheap Auto’s sole discretion.

16. Severance

16.1. In the event that any part of these terms and conditions is or becomes void or unenforceable, that part is severed so that the validity and enforceability of the remainder of these terms and conditions shall not be affected.

17. Communications and opting-out

17.1. Unless the Customer has opted out of receiving marketing communications from Supercheap Auto relating to the Trade Program, the Customer agrees to Supercheap Auto communicating with the Customer relating to the Trade Program via various channels and media (including by email, SMS, phone and mail).

17.2. The Customer acknowledges and agrees that they can opt out of receiving certain types of communications from Supercheap Auto relating to the Trade Program by:

However, the Customer agrees that if the Customer unsubscribes from one type of communication relating to the Trade Program (ie marketing emails, product review emails, customer experience survey emails or SMS) the Customer will continue to receive the other types of communications relating to the Trade Program. For example, if a Customer unsubscribes from receiving product review emails, they will continue to receive marketing emails, customer experience survey emails and SMS communications, unless they have separately unsubscribed from those types of communications.

17.3. The Customer agrees that Supercheap Auto may send certain transactional messages relevant to the Customer whilst they participate in the Trade Program. These transactional messages include messages relating to the Customer’s participation in the Trade Program (like messages attaching an invoice associated to a purchase and order tracking), important information relating to products and services (like health and safety recall notices), forgotten passwords and updates to Supercheap Auto’s terms and conditions and privacy policy. The Customer agrees that transactional messages will not contain an unsubscribe link. If the Customer does not want to receive such transactional messages, the Customer may terminate their involvement in the Trade Program.

17.4. The Customer agrees that, if they are also a member of the Supercheap Auto Club program (operated pursuant to the Supercheap Auto Club Terms and Conditions), they will separately receive communications in accordance with the Supercheap Auto Club Terms and Conditions. The Customer agrees that if they unsubscribe from communications relating to the Supercheap Auto Club program or the Trade Program, the Customer will continue to receive communications relating to the other program to which they are still subscribed.

17.5. Supercheap Auto uses information about Customer (including prior purchases, the way Customer interacts with Supercheap Auto’s website and demographic data) to help Supercheap Auto deliver communications and to display advertisements that Supercheap Auto believe are likely to be of interest to you. The Customer agrees that Supercheap Auto may use machine learning technology for this purpose.

18. Waiver

18.1. Supercheap Auto’s failure to exercise any right or power does not operate as a waiver and a partial exercise of a right or power does not preclude any further exercise of the right or power.

19. Law

19.1. These terms and conditions are governed by and construed in accordance with the laws in force in New Zealand. The Customer agrees to submit to the non-exclusive jurisdiction of the courts of New Zealand.

20. Interpretation

20.1. In these terms and conditions, unless contrary to the context:

20.1.1. “Customer” means and includes any natural person, company, partnership or other entity who is the applicant listed for the purchase of Goods is accepted by Supercheap Auto.

20.1.2. “Goods” means and includes goods and services supplied or to be supplied to the Customer by Supercheap Auto.

20.1.3. “GST Act” means “Goods and Services Tax Act 1985” and any ancillary legislation relating to the imposition of goods and services tax.

20.1.4. “GST” means any tax chargeable or payable under the GST Act;

20.1.5. “Supercheap Auto” means Supercheap Auto (New Zealand) Pty Limited NZBN 9429036715527;

20.1.6. “Trade Discount Card” means the card (which remains at all times the property of Supercheap Auto) provided to the Customer, held with Supercheap Auto, in relation to the supply of Goods for its trade or business and which allows the Customer to participate in the Trade Program pursuant to these terms and conditions; and

20.1.7. “Trade Program” means the potential supply of Goods to the Customer by Supercheap Auto pursuant to these terms and conditions, for which the Customer has been provided a Trade Discount Card.
